PROJECT DESCRIPTION
GLAS Specialist Services Limited has been appointed to act as Solicitation, Information and Tabulation Agent in connection with a consent solicitation (the “Consent Solicitation“) in relation to the replacement of the Trustee and Principal Paying Agent for the following loan participation notes issued by EMIS Finance B.V.:
– the Series LPN-26 U.S.$50,000,000 8.75 per cent. Loan Participation Notes due 7 November 2022 (ISIN: XS1907535576); and
– the Series LPN-31 U.S.$50,000,000 9.50 per cent. Loan Participation Notes due 15 October 2024 (ISIN: XS2228241175),
(together, the “Notes“).
GLAS Trustees Limited (“GLAS”) wishes to inform noteholders that the validity of the appointment of GLAS as trustee of the Series 26 Notes and the Series 31 Notes (the “LPNs”) is currently the subject of legal proceedings before the English High Court.
EMIS has applied for an interim injunction to prevent GLAS from taking any actions in its capacity as trustee pending a hearing in respect of the validity of its appointment as trustee. The hearing of the injunction application is expected to take place on 27 August 2025.
GLAS has given an undertaking that it will not take any actions in its capacity as trustee in respect of the LPNs. That undertaking will remain in force until 7 September 2025. Unless the Court orders otherwise, GLAS will not be in a position to respond to any communications from holders of the LPNs until that date.

Holders will be given access to the memorandum in connection with the Consent Solicitation (the “Consent Solicitation Memorandum“) and any notices issued in connection with the Consent Solicitation once they have:
- registered in accordance with the instructions below; and
- submitted their proof of holdings (which must evidence a holder’s holding of Notes as of 9 July 2025).
Holders should expect email communication with the Solicitation, Information and Tabulation Agent.
Further details of the Consent Solicitation (including any relevant dates) are set out in the Consent Solicitation Memorandum.
