GLAS appointed on refinancing for Medisolve

GLAS acted in several key roles on the refinancing of Medisolve, helping to facilitate the transaction and the implementation of the company’s post-closing capital structure.

As part of the transaction, the GLAS team in Italy acted as Issuing Agent, Calculation Agent, Security Agent and Representative of the Noteholders, providing specialised expertise in connection with the dematerialisation of the notes with Euronext Securities Milan and supporting the broader administrative and agency aspects of the transaction. GLAS also acted as Facility Agent for the revolving credit facility.

The refinancing was undertaken to optimise Medisolve’s capital structure and support the company’s continued growth strategy. The transaction also facilitated the implementation of the post-closing capital structure and required the successful coordination of a number of technical, administrative and agency workstreams.

The transaction brought together a number of leading advisers. Mediobanca acted as debt advisor to both Medisolve and H.I.G. Capital, while Latham & Watkins advised the issuer on legal and capital markets matters. Ropes & Gray Italy advised on corporate, compliance and foreign direct investment matters, and Maisto e Associati provided Italian tax advice. On the lender side, Hogan Lovells and Cadwalader advised the noteholders and lenders in connection with the revolving credit facility.
