GLAS Specialist Services Limited has been appointed to act as information agent (in such capacity, the Information Agent) in connection with a proposed Restructuring Plan under Part 26A of the Companies Act 2006 (the Restructuring Plan) relating to Project Lietzenburger Straße HoldCo S.à.r.l (Plan Company) in connection with, amongst others:

• the EUR 775,000,000 senior secured loan agreement dated 8 June 2021 between, amongst others, Project Lietzenburger Straße PropCo S.à.r.l. a société à responsabilité limitée, formed and existing under Luxembourg law, having its registered office at L-1820 Luxembourg, 10 rue Antoine Jans, and registered with the Luxembourg Register of Commerce and Companies under number B122291 (PropCo) as borrower, Quirin Privatbank AG as creditor and the Facility Agent as facility agent (the Senior Loan Agreement) and the 3.50% senior secured loan notes due 28 November 2023 (the Senior Notes) with a joint aggregate cap of EUR 775,000,000 between the Senior Loan Agreement and the Senior Notes;
• the EUR 150,000,000 senior tier 2 secured loan agreement dated 8 June 2021 and made between, amongst others, PropCo as borrower, Quirin Privatbank AG as creditor and Situs Deutschland GmbH as facility agent (the Senior Tier 2 Loan Agreement) and the 5.50% senior tier 2 secured loan notes due on 28 November 2023 (the Senior Tier 2 Notes) with a joint aggregate cap of EUR 150,000,000 between the Senior Tier 2 Loan Agreement and the Senior Tier 2 Notes; and
• the EUR 70,000,000 junior loan agreement dated 8 June 2021 and made between, amongst others, Aggregate Holdings 4 S.à.r.l. a société à responsabilité limitée, formed and existing under Luxembourg law, having its registered office at L-1820 Luxembourg, 10 rue Antoine Jans, and registered with the Luxembourg Register of Commerce and Companies under number B250320 (AH4), AF I Originator S.à.r.l., AF III Originator S.à.r.l. as creditors and Situs Deutschland GmbH as facility agent (the Junior Loan Agreement) and the EUR 25,100,000 of principal amount of 10.50% junior secured notes due on 28 November 2023 (the Junior Notes), with a joint aggregate cap of EUR 100,000 between the Junior Loan Agreement and the Junior Notes, together the Financing Instruments.

The practice statement letter in respect of the Restructuring Plan (the Practice Statement Letter) is issued to all creditors under the Financing Instruments (the Plan Creditors) and is available at the Portal. Plan Creditors should register in accordance with the instructions below to be granted access to the Portal.
