Further to the announcements on 11 June 2020, 23 June 2020, and 29 June 2020, and 9 July 2020, which can be found below. Scheme Creditors are reminded that the Scheme Meeting will be held at 10:00 a.m. (London time) on 20 July 2020 by video and telephone conference. Check-in for the Scheme meeting will commence at 9.30 am (London time) on 20 July 2020.

Scheme Creditors are strongly advised to read the Notice to Scheme Creditors, Explanatory Statement, Instruction Packet and Scheme Document for details of how to attend the Scheme Meeting and vote on the Scheme, and for details of the applicable deadlines. These documents were provided pursuant to our 29 June 2020 notice and our 9 July 2020 notice and further copies can be found in the documents area on this page.

Scheme Creditors are reminded of the following upcoming deadlines:

  • In order to receive dial-in details for the Scheme Meeting, and to receive log-in details for the secure portal on the Scheme Website (the “Portal”), creditors must register via the following link on the Scheme Website or by email to the Information Agent at lm@glas.agency by 5.00 p.m. (London time) on 15 July 2020 (“Registration”).
  • Scheme Creditors who wish to appoint the Chairman or another person as their proxy to attend the Scheme Meeting and vote on their behalf may do so by submitting a Proxy Form via the Portal or by sending a pdf copy of the completed form to the Information Agent at lm@glas.agency. The deadline for submitting Proxy Forms is 5.00 p.m. (London time) on 15 July 2020. A copy of the Proxy Form can be found in the Instruction Packet.
  • Scheme Creditors who wish to vote on the Scheme remotely may do so via the Portal or by email to the Information Agent at lm@glas.agency by 12.00 pm (London time) on 19 July 2020 (subject to completing Registration). A copy of the Voting Form can be found in the Instruction Packet.

Scheme Creditors are reminded that the Scheme Meeting will be held at 10:00 a.m. (London time) on 20 July 2020 by video and telephone conference. Scheme Creditors are reminded of the following upcoming deadlines:

  • Scheme Creditors who have, or believe they have, a Provable Claim must submit a proof of debt in respect of such Provable Claim as soon as possible and by no later than 5.00 pm on 13 July 2020 in order to vote at the Scheme Meeting. The proof of debt form can be found in the documents area on this page and should be returned to the Joint Administrators using the details set out at the foot of the form. Scheme Creditors who have an Admitted Claim are entitled to vote at the Scheme Meeting and do not need to submit another proof of debt.
  • In order o receive dial-in details for the Scheme Meeting, and to receive log-in details for the secure portal on the Scheme Website (the “Portal”), creditors must register via the following link on the Scheme Website or by email to the Information Agent at lm@glas.agency by 5.00 p.m. (London time) on 15 July 2020 (“Registration”).

Scheme Meeting

Further to the announcements made on 11 June 2020 and 23 June 2020, copies of which can be found in the documents area on this page. Mr Justice Zacaroli has today made an order permitting the Company to convene a meeting of Scheme Creditors to take place by video and telephone conference at 10 am (London time) on 20 July 2020 (the “Scheme Meeting”), together with other directions relevant to the Scheme Meeting. A copy of the judge’s sealed order and the Company’s notice to Scheme Creditors convening the Scheme Meeting can be found in the documents area on this page.

Scheme Creditors are strongly advised to read the Scheme Document, Explanatory Statement and Instruction Packet for details of how to attend the Scheme Meeting and vote on the Scheme, and for details of the applicable deadlines. Copies of these documents can be accessed by the following links on this page:

Scheme Creditors who wish to attend and vote at the Scheme Meeting must complete Registration in accordance with Part 4 (Actions to be taken by Scheme Creditors and Conditions to Implementation of the Scheme) of Section 1 of the Explanatory Statement.

Scheme of Arrangement

June 11, 2020


Further to the announcement made on 11 June 2020, which can be found in the documents area on this page, the Joint Administrators of African Minerals Limited (the “Company”) have today issued the necessary Court documents in order to seek directions from the Court as to the convening and conduct of a meeting of the Company’s Scheme Creditors (being substantially all persons with a provable claim in the Company’s administration) for the purpose of considering and, if thought fit, approving a scheme of arrangement (the “Scheme”). A convening hearing in respect of the Scheme is listed to be heard in the High Court on 29 June 2020 at a time to be confirmed by the Court.

The Claim Form, Draft Order and accompanying Witness Statement of Ian Wormleighton, together with copies of the Draft Scheme Document, Draft Explanatory Statement and Practice Statement Letter dated 11 June 2020, can be found in the documents area on this page.

Creditors who believe they have a provable claim in the Administration, but have not yet submitted a proof of debt, are urged to do so as soon as possible using the Proof of Debt form and returning it to the Joint Administrators using the email addresses provided in the form.
